BA4 Syllabus

BA4 Fundamentals of Ethics, Corporate Governance and Business Law covers the professional and legal frameworks that every CIMA student needs to understand. Unlike the other Certificate papers, there are no calculations — but the content requires genuine understanding of how ethical principles, governance structures and legal obligations apply in real business scenarios. The exam is split into four sections: Business Ethics and Ethical Conflict (30%), Corporate Governance, Controls and CSR (45%), General Principles of Law, Contract and Employment (15%) and Company Administration (10%). Section B carries almost half the marks and should be your main focus.

Everything you need to know about CIMA BA4.

BA4 — Fundamentals of Ethics, Corporate Governance and Business Law — is the final Certificate Level paper in the CIMA qualification. Unlike BA1, BA2 and BA3, it contains 85 objective test questions in 2 hours rather than 60, and requires no calculations — it tests your understanding of ethical principles, governance frameworks and business law. You need 70% to pass. It is available on demand at Pearson VUE test centres.

BA4 covers four main areas: A — Business Ethics covering the CIMA Code of Ethics, the five fundamental principles (integrity, objectivity, professional competence, confidentiality and professional behaviour) and ethical decision-making; B — Corporate Governance covering board structures, internal controls, audit and stakeholder accountability; C — Internal Controls covering risk management and control frameworks; and D — Business Law covering contract law, employment law and company law essentials.

BA4 covers a broader range of conceptual topics — ethics, governance and law — compared to the more focused numerical content of BA1, BA2 and BA3. CIMA uses more questions to ensure adequate coverage across all topic areas. The questions are shorter and more scenario-based, so the pace of the exam is different from the other three papers. Time management is still important — 85 questions in 120 minutes means roughly 85 seconds per question.

BA4 consistently has the lowest pass rate of the four Certificate Level papers — don't underestimate it just because there are no calculations. The content requires you to apply ethical and legal principles to scenarios, which demands genuine understanding rather than memorisation. Students who rely on reading the textbook without practising questions often struggle. The key to passing is working through large numbers of exam-style questions to build familiarity with how scenarios are framed.

Most students allow 4–5 weeks for BA4. The content is conceptual rather than numerical, but there is a lot of it — ethics, governance, internal controls and business law each require solid understanding. Do not underestimate the law section, which many students neglect. Practice with exam-style questions is essential — scenario-based questions require a different skill set from the calculation-heavy papers.

There is no required order for Certificate Level papers. Many students leave BA4 until last, either because it feels like a different type of paper or because they want to build confidence from the other three first. This is a reasonable approach — BA4 has less content overlap with BA1, BA2 and BA3. However, some students find it a useful confidence boost to sit BA4 early, as the lack of calculations can feel more approachable.

BA4 links into E1 and the ethics and governance content that runs throughout the Professional Level. The CIMA Code of Ethics and corporate governance principles introduced in BA4 are applied at greater depth across the Operational, Management and Strategic Levels. Passing BA4 also completes your Certificate Level — after BA1, BA2, BA3 and BA4 you earn the CIMA Certificate in Business Accounting and can progress to the Operational Level.
